End User License Agreement

1. Title and Parties

This End User License Agreement (the "Agreement" or "EULA") is a binding legal contract concerning the licensing and use of the PFZ LLM Auditor Agent software-as-a-service ("Agent" or "Service").

This Agreement is entered into by and between:

PFZ LIMITED, a private limited company incorporated under the laws of the Federal Republic of Nigeria (the "Licensor," "Provider," or "PFZ"); and

The individual or entity that has procured a subscription to the Service via the Google Cloud Marketplace (the "Licensee" or "Customer").

BY CLICKING "I AGREE," ACCESSING, OR USING THE SERVICE, THE LICENSEE ACKNOWLEDGES THAT IT HAS READ, UNDERSTOOD, AND AGREES TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.

2. Grant of License

2.1. Limited License: Subject to the terms and conditions of this Agreement, including the Licensee's timely payment of all applicable subscription fees through the Google Cloud Marketplace, PFZ LIMITED hereby grants the Licensee a non-exclusive, non-transferable, non-sublicensable, limited right to access and use the PFZ LLM Auditor Agent Service solely for the Licensee's internal business operations.

2.2. Service Description: The Service is a specialized business tool designed to fact-check and verify Large Language Model (LLM) outputs using a verified internal knowledge base, enhancing the reliability and security of the Licensee's enterprise AI applications.

3. Restrictions on Use

The Licensee shall not, and shall not permit any third party to, directly or indirectly:

• 3.1. Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Agent or any technology related to the Service.
• 3.2. Unauthorized Access: Share, lease, rent, distribute, sell, or sublicense the Agent access credentials or their subscription with any unauthorized third parties or use the Agent on a service bureau or time-sharing basis.
• 3.3. Illegal Purposes: Use the Agent for any unlawful purpose or to facilitate illegal activities, including but not limited to violating third-party intellectual property rights or data privacy laws.
• 3.4. Circumvention: Attempt to probe, scan, or test the vulnerability of the Agent or its underlying infrastructure, or circumvent any security or architectural best practices implemented by PFZ.
• 3.5. Exceeding Scope: Use the Agent beyond the scope of the license granted herein, including attempting to access the knowledge base or underlying RAG platform for any purpose other than the intended use of the Agent.

4. Intellectual Property

4.1. Ownership: The Licensee acknowledges that the PFZ LLM Auditor Agent, the serverless architecture, the underlying proprietary technology, the internal knowledge base, and all associated intellectual property rights (including but not limited to copyrights, patents, trademarks, and trade secrets) are, and shall remain, the sole and exclusive property of PFZ LIMITED.

4.2. No Transfer of IP: This Agreement grants the Licensee a limited right of use, and nothing in this Agreement shall be construed as transferring any ownership interest in the Agent or any related intellectual property to the Licensee or any other party.

5. Termination

5.1. Termination by PFZ: PFZ LIMITED may terminate this Agreement and the Licensee's access to the Service immediately upon written notice if the Licensee:

• Fails to make timely payment of subscription fees through the Google Cloud Marketplace.
• Breaches any material term of this Agreement (especially the Restrictions on Use in Section 3).
• Engages in any conduct that PFZ determines, in its sole discretion, is harmful to the Agent's security, stability, or the reputation of PFZ.

5.2. Effect of Termination: Upon termination, the Licensee's right to use the Agent shall immediately cease. The Licensee must immediately discontinue all use of the Service. Termination shall not relieve the Licensee of any obligation accrued prior to the effective date of termination.

6. Disclaimer and Limitation of Liability

6.1. Disclaimer of Warranty: THE PFZ LLM AUDITOR AGENT SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. PFZ LIMITED DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PFZ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

6.2. No Liability for Audit Results: The Licensee acknowledges that the Service is a tool, and its verification results and optional content rewrites are based on the internal knowledge base. PFZ LIMITED IS NOT RESPONSIBLE FOR ANY DAMAGES, LOSSES, OR ERRORS, INCLUDING BUT NOT LIMITED TO BUSINESS DECISIONS, FINANCIAL LOSSES, OR REGULATORY FINES, ARISING FROM INACCURACIES IN THE AUDIT RESULTS OR THE INABILITY TO USE THE AGENT.

6.3. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PFZ LIMITED BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR INABILITY TO USE THE AGENT, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, OR OTHERWISE), EVEN IF PFZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
